These Terms of Service ("Terms") govern your access to and use of Mentionably ("we", "us", or "our") including our website, products, and services that analyze and improve your organization’s visibility in AI-powered search results. By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility and Account

You must be at least 18 years old to use the Services. Accounts are organization-based and provisioned via Clerk. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your organization.

2. Subscriptions and Billing

Access to the Services is provided on a subscription basis by organization. Plan features and limits are described on our pricing page. Except where required by law, fees are non-refundable and automatically renew until canceled. You can change or cancel your plan at any time, with changes applying to the next billing cycle.

3. Permitted Use

You may use the Services to audit domains you own or are authorized to manage. You agree not to misuse the Services, including by attempting to access data without permission, interfering with service operation, or violating applicable laws or third‑party terms.

4. Data Sources and Processing

Our audits analyze publicly available web pages and AI search engine responses using third‑party providers. You authorize us to process data related to your domains and keywords to generate audit results and recommendations. We do not claim ownership over your content.

5. Third‑Party Services

We integrate with third‑party services (e.g., authentication, data providers, LLMs). Your use of those services may be subject to their own terms, and we are not responsible for their actions or content.

6. Intellectual Property

The Services, including software, UI, and generated reports, are owned by us or our licensors. Subject to your compliance with these Terms, we grant you a non‑exclusive, non‑transferable license to use the Services during your subscription.

7. Confidentiality

We will not disclose your non‑public information except as required to provide the Services, comply with law, or with your consent.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to such processing.

9. Disclaimers

The Services and all outputs are provided "as is" without warranties of any kind. We do not guarantee ranking outcomes, AI mentions, or business results. You are responsible for evaluating and implementing recommendations.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

12. Suspension and Termination

We may suspend or terminate access if you violate these Terms or if your subscription lapses. Upon termination, your right to use the Services ceases immediately.

13. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Changes take effect upon posting. Your continued use constitutes acceptance of the updated Terms.

14. Governing Law; Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to that jurisdiction.
